1. INTRODUCTION

Halcyon Capital Partners LLC, trading as Halcyon Strategy Partners (“Halcyon Strategy Partners”, “Halcyon”, “we”, “us” or “our”), respects your privacy and is committed to protecting personal information entrusted to us.

This Privacy Policy explains how we collect, use, store, disclose and otherwise process personal information when you interact with Halcyon, including when you:

access or use halcyonsp.com or another website operated by us that links to this Privacy Policy (collectively, the “Website”); contact or communicate with us; request information or resources; subscribe to emails, publications or other communications; apply for or participate in a Strategic Growth Diagnostic, consultation or other preliminary engagement; purchase or participate in our consulting, advisory, coaching, mentoring, educational or other services; attend an event, webinar or presentation; interact with our marketing or advertising; or otherwise engage with Halcyon in a professional or business capacity.

This Privacy Policy should be read together with our Terms of Use, any applicable engagement agreement or program terms, and any other privacy notice presented to you when personal information is collected.

Depending upon where you are located and the nature of your interaction with Halcyon, additional privacy rights may apply under applicable law.

2. WHO WE ARE

The Website is operated by:

Halcyon Capital Partners LLC
trading as
Halcyon Strategy Partners

Halcyon Strategy Partners is a business management consulting, strategic advisory, coaching, mentoring and implementation business.

Our activities include strategic advisory, business growth and scaling strategy, leadership development, operational improvement, sales and marketing strategy, financial and commercial strategy, enterprise value creation, transaction and special-situations consulting, strategic implementation, education, research, publications, insights and business intelligence.

For purposes of applicable privacy and data protection laws, Halcyon will generally be the entity responsible for determining why and how personal information covered by this Privacy Policy is processed, unless another entity is expressly identified.

3. WHAT IS PERSONAL INFORMATION?

For purposes of this Privacy Policy, “personal information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked directly or indirectly with an identifiable individual.

Depending upon applicable law, the terms “personal data”, “personally identifiable information” and similar expressions may have different technical definitions. References to personal information in this Privacy Policy are intended to encompass those concepts where applicable.

Information that has been genuinely anonymised or aggregated so that it cannot reasonably identify an individual is not treated as personal information for purposes of this Privacy Policy.

4. PERSONAL INFORMATION WE MAY COLLECT

The personal information we collect depends upon how you interact with Halcyon.

Identity and Contact Information

We may collect your name, email address, telephone number, postal or business address, country or region and other contact details.

Professional and Business Information

We may collect information relating to your position, profession, occupation, employer, business, industry, company size, business location, revenue, organisational structure and professional interests.

Where relevant to a consultation or engagement, we may also collect information regarding business performance, strategy, operations, sales, marketing, employees, management, financial circumstances, ownership, transactions, growth objectives and other commercial matters.

Consultation and Diagnostic Information

If you apply for a Strategic Growth Diagnostic, consultation, advisory discussion or similar interaction, we may collect information you provide about your business, objectives, opportunities, challenges, constraints, priorities and reasons for seeking assistance.

This information may include commercially sensitive information if you choose to provide it.

Communications and Correspondence

We may retain emails, messages, telephone records, meeting information, enquiries, feedback and other correspondence exchanged with you.

Where permitted by law and appropriately disclosed, meetings or calls may also be recorded, transcribed or summarised.

Marketing and Preference Information

We may collect information about your marketing preferences, areas of interest, subscription status, communications preferences and interactions with emails or other communications we send.

Transaction and Payment Information

Where you purchase services, programs or products, we may collect information necessary to process and administer the transaction.

Payment card information may be processed directly by third-party payment processors rather than stored by Halcyon. We may receive limited transaction information such as payment status, amount, billing information, transaction identifier and payment method.

Website and Technical Information

When you access the Website, certain information may be collected automatically, including your Internet Protocol address, browser type, operating system, device type, approximate geographic location, referring website, pages viewed, links clicked, date and time of access, session information and other technical or usage information.

Analytics and Interaction Information

We may collect information concerning how you interact with the Website, digital content, advertisements and communications.

This may include pages visited, content viewed, forms started or completed, downloads, links selected, email openings, email link interactions, referral sources, time spent on pages and other engagement information.

Social Media and Publicly Available Information

Where appropriate, we may collect information made publicly available through professional networks, company websites, social media platforms, business directories, public databases and other lawful sources.

Client and Prospective Client Information

In the course of business development or providing services, we may process information relating to directors, shareholders, executives, employees, contractors, advisers, customers, suppliers, transaction counterparties and other individuals connected with a client or prospective client.

Event and Educational Program Information

If you attend a webinar, workshop, seminar, event, coaching program or educational activity, we may collect registration details, attendance information, participation information, responses, questions, feedback and other information associated with your participation.

Other Information You Choose to Provide

You may voluntarily provide other information when communicating or interacting with us.

We ask that you not provide unnecessary sensitive personal information through general Website forms.

5. SENSITIVE PERSONAL INFORMATION

Halcyon generally does not seek to collect sensitive personal information through the Website.

Depending upon applicable law, sensitive information may include information relating to health, racial or ethnic origin, religious or philosophical beliefs, political opinions, trade union membership, biometric identifiers, sexual orientation, government identification numbers, precise geolocation, financial account credentials and similar categories.

Please do not submit sensitive information through general enquiry forms unless it is genuinely necessary and Halcyon has requested it through an appropriate process.

If we receive sensitive personal information, we will process it only where permitted by applicable law and for legitimate purposes.

6. HOW WE COLLECT PERSONAL INFORMATION

We may collect personal information directly from you when you complete a Website form, request a resource, book a consultation, communicate with us, subscribe to communications, enter into an engagement, purchase a product or service, participate in a diagnostic or program, attend an event or otherwise interact with Halcyon.

We may also collect information automatically through cookies, pixels, analytics tools and similar technologies.

Where lawful and appropriate, information may also be obtained from your organisation, professional advisers, referral partners, business contacts, publicly available sources, professional networking platforms, event organisers, service providers and other third parties.

Where we receive information about you from another organisation, we process that information in accordance with applicable law and any contractual obligations applying to the information.

7. HOW WE USE PERSONAL INFORMATION

We may use personal information to operate and administer Halcyon and the Website; respond to enquiries; provide requested information and resources; evaluate prospective client enquiries; conduct Strategic Growth Diagnostics and consultations; establish and manage client relationships; provide consulting, advisory, coaching, mentoring and educational services; communicate with clients and prospective clients; administer contracts, billing and payments; deliver publications, research, insights and educational material; personalise communications and Website experiences; maintain our CRM and business records; manage events and programs; improve our services, methodologies, Website and customer experience; conduct analytics and research; understand demand for our services; develop new services, intellectual property, methodologies and educational products; market and promote Halcyon where permitted by law; measure the effectiveness of advertising and marketing campaigns; protect the security and integrity of our systems; detect fraud, abuse or unlawful activity; establish, exercise or defend legal rights; comply with legal, regulatory, taxation, accounting and contractual obligations; complete corporate transactions or reorganisations; and otherwise operate our business for legitimate commercial purposes.

We may also create aggregated or anonymised information from personal information and use that information for research, analytics, benchmarking, service development, strategic intelligence and other lawful business purposes, provided individuals cannot reasonably be identified from the information.

8. LEGAL BASES FOR PROCESSING

Where applicable data protection law requires a legal basis for processing personal information, Halcyon may rely upon one or more of the following bases.

Performance of a Contract

We may process information where necessary to enter into or perform a contract with you, including providing services, administering an engagement, processing a purchase or responding to steps you request before entering into an agreement.

Legitimate Interests

We may process information where necessary for Halcyon’s legitimate business interests and those interests are not overridden by your rights and interests.

These interests may include operating and developing our business, communicating with business contacts, responding to enquiries, maintaining client relationships, improving our services, protecting our intellectual property, conducting appropriate business-to-business marketing, maintaining security, preventing fraud and establishing or defending legal rights.

Consent

We may process information on the basis of your consent where required or appropriate.

This may include certain marketing communications, advertising technologies, cookies, recordings or other activities where applicable law requires consent.

Where processing is based on consent, you may withdraw that consent at any time. Withdrawal does not affect processing lawfully undertaken before consent was withdrawn.

Legal Obligation

We may process information where necessary to comply with a legal, regulatory, taxation, accounting, judicial or governmental obligation.

Protection of Rights

Where permitted by law, information may be processed where necessary to protect the vital interests, rights, property or safety of Halcyon, our clients, Website users or another person.

9. MARKETING COMMUNICATIONS

Halcyon may send marketing, educational, promotional and informational communications concerning our services, publications, insights, events, programs, resources and other matters that we believe may be relevant to you.

We will send electronic marketing communications only where permitted by applicable law.

Where consent is required, we will seek appropriate consent before sending such communications.

You can unsubscribe from marketing emails at any time by selecting the unsubscribe link contained in the communication or contacting us.

Unsubscribing from marketing communications will not necessarily prevent us from sending transactional, administrative, service-related or legally required communications.

For example, if you become a client, we may continue to send communications necessary to administer our relationship with you.

10. BUSINESS-TO-BUSINESS COMMUNICATIONS

Because Halcyon primarily operates in a professional and business-to-business environment, we may communicate with business owners, founders, directors, executives, employees, advisers and other professional contacts concerning matters relevant to their professional responsibilities.

Where applicable law permits business-to-business communications on the basis of legitimate interests or another lawful basis, Halcyon may rely upon that basis.

We will respect valid objections, opt-outs and other rights provided by applicable law.

11. COOKIES AND SIMILAR TECHNOLOGIES

The Website may use cookies and similar technologies such as pixels, tags, scripts, web beacons and local storage technologies.

These technologies may enable us and authorised service providers to recognise a browser or device, operate Website functionality, protect Website security, remember preferences, understand how the Website is used, measure Website performance, analyse marketing campaigns and, where enabled, assist with advertising.

Cookies may be session cookies, which expire after you close your browser, or persistent cookies, which remain on your device for a defined period.

12. TYPES OF COOKIES WE MAY USE

Strictly Necessary Cookies

These cookies support functionality required for the Website to operate and may include security, network management, preference and form functionality.

Functional Cookies

These cookies may enable enhanced functionality, personalisation and preferences.

Analytics and Performance Cookies

These technologies help us understand how visitors use the Website, including traffic sources, page views, Website performance and user interactions.

Advertising and Marketing Cookies

Where used, these technologies may help measure marketing campaigns, understand conversions, create audiences and display advertising that may be more relevant to Website visitors.

Where applicable law requires consent before non-essential cookies or tracking technologies are activated, we intend to obtain that consent through an appropriate consent mechanism.

You may also be able to control cookies through your browser settings.

Disabling certain technologies may affect Website functionality.

13. EMAIL TRACKING

Emails sent by Halcyon or our service providers may contain technologies that allow us to determine whether an email has been delivered, opened or interacted with.

We may use this information to understand audience engagement, improve communications, administer marketing preferences and measure campaign effectiveness.

Where required, such processing will be undertaken subject to applicable consent and privacy requirements.

14. ADVERTISING AND ANALYTICS

Halcyon may use analytics, advertising and marketing service providers to understand Website performance and marketing effectiveness.

Depending upon the technologies deployed, these providers may receive technical and usage information through cookies, pixels or similar technologies.

Under certain US state privacy laws, some disclosures of information for cross-context behavioural advertising or targeted advertising can be legally characterised as “sharing”, “selling” or “targeted advertising” even where no money is exchanged for the information.

Halcyon does not sell personal information to third parties in exchange for monetary payment.

Where applicable law gives you a right to opt out of activities legally characterised as a sale, sharing or targeted advertising, we will provide an appropriate mechanism for exercising that right where such activities are undertaken.

15. CUSTOMER RELATIONSHIP MANAGEMENT AND MARKETING AUTOMATION

Halcyon may use customer relationship management, booking, email marketing, communications and marketing-automation systems to administer prospective and existing client relationships.

Information submitted through forms, consultation bookings, downloads, email subscriptions and other interactions may be entered into these systems.

These systems may assist us with communications, scheduling, follow-up, segmentation, service administration, marketing preferences and measurement of engagement.

We require service providers handling personal information on our behalf to process information for authorised purposes and subject to appropriate contractual or legal protections.

16. STRATEGIC GROWTH DIAGNOSTICS AND CONSULTATIONS

When you apply for or participate in a Strategic Growth Diagnostic, consultation or similar process, Halcyon may collect information about you and your organisation to understand your circumstances and determine whether and how we may be able to assist.

Because the purpose of a diagnostic is to understand a business at a strategic level, you may voluntarily disclose commercially significant information.

Halcyon will process that information for purposes including evaluating your circumstances, conducting the diagnostic, communicating recommendations, determining whether a potential engagement is appropriate and maintaining appropriate records of the interaction.

Submitting information or participating in a preliminary consultation does not itself create a formal consulting engagement.

Confidentiality obligations applying to a paid professional engagement will be governed by the applicable engagement agreement.

17. CLIENT INFORMATION

When Halcyon provides professional services to a client, we may receive personal information from the client or from third parties in connection with the engagement.

Where a client provides personal information to Halcyon, the client is responsible for ensuring that it has lawful authority to provide that information and for providing any notices or obtaining any permissions required by applicable law.

Depending upon the nature of the engagement, Halcyon may act as an independent controller, service provider, contractor or processor of personal information.

Where specific contractual privacy or confidentiality obligations apply to client information, those obligations will operate in addition to this Privacy Policy.

18. ARTIFICIAL INTELLIGENCE AND TECHNOLOGY-ASSISTED PROCESSING

Halcyon may use software incorporating artificial intelligence, automation, transcription, analytics or similar technologies to assist with legitimate business activities such as research, drafting, analysis, administration, communications, meeting summaries, service improvement and internal productivity.

Where personal or confidential information is processed through such systems, Halcyon intends to take reasonable steps appropriate to the sensitivity of the information and the purpose for which it is being processed.

We do not intend to make decisions producing legal or similarly significant effects about individuals solely through automated decision-making without appropriate human involvement where prohibited by applicable law.

19. WHEN WE MAY DISCLOSE PERSONAL INFORMATION

Halcyon may disclose personal information to service providers and contractors who assist us with Website hosting, cloud infrastructure, customer relationship management, scheduling, email communications, marketing automation, analytics, advertising, cybersecurity, document storage, payment processing, accounting, professional services, communications, video conferencing and other business operations.

We may also disclose information to accountants, lawyers, auditors, insurers and other professional advisers; government agencies, regulators, courts or law enforcement where required or permitted by law; affiliated entities or entities under common ownership or control; business partners where appropriate and lawfully authorised; parties involved in an actual or proposed merger, acquisition, investment, financing, restructuring, asset sale or similar corporate transaction; and other persons where you have authorised the disclosure or where disclosure is otherwise lawful.

We do not permit service providers processing personal information on our behalf to use that information for unrelated purposes except where independently permitted by law and appropriately disclosed.

20. SALE OF PERSONAL INFORMATION

Halcyon does not sell personal information to third parties in exchange for money.

As explained above, certain advertising or analytics activities can be given broader technical definitions of “sale” or “sharing” under particular US privacy laws.

Where Halcyon engages in an activity that falls within such a statutory definition and applicable law provides an opt-out right, we will provide an appropriate means of exercising that right.

21. INTERNATIONAL TRANSFERS

Halcyon conducts business using technology and service providers that may operate in multiple countries.

As a result, personal information may be stored, accessed, processed or disclosed outside the country in which it was originally collected.

This may include processing in the United States and in other jurisdictions in which Halcyon, our contractors or our technology and service providers operate.

Those jurisdictions may have privacy laws different from those in your country of residence.

Where required by applicable law, Halcyon will take reasonable steps designed to provide an appropriate level of protection for international transfers, which may include contractual safeguards, data-processing agreements or other legally recognised transfer mechanisms.

Where Australian privacy law applies to Halcyon and an overseas disclosure constitutes a disclosure for purposes of the Australian Privacy Principles, Halcyon will manage that disclosure in accordance with applicable requirements.

22. DATA RETENTION

Halcyon retains personal information for only as long as reasonably necessary for the purposes for which it was collected and for legitimate legal and business requirements.

Retention periods may depend upon the nature of the information, our relationship with you, contractual requirements, client-service requirements, taxation and accounting obligations, applicable statutes of limitation, dispute-management requirements, legal obligations, security requirements and legitimate business record-keeping requirements.

For example, client and contractual records may be retained for a period after an engagement concludes to satisfy legal, taxation, insurance, professional and dispute-management requirements.

Marketing information may be retained while we maintain a legitimate marketing relationship with you or until you withdraw consent or object, subject to our need to maintain suppression records recording an opt-out.

When information is no longer reasonably required, we may delete, destroy or anonymise it, subject to applicable law and technical limitations.

23. DATA SECURITY

Halcyon takes reasonable administrative, organisational, contractual and technical measures designed to protect personal information from unauthorised access, disclosure, alteration, misuse, loss or destruction.

These measures may include access controls, password protection, authentication controls, secure cloud services, encryption where appropriate, software security, backups, employee or contractor confidentiality obligations and security procedures appropriate to the nature of the information.

No system of electronic transmission or storage is completely secure.

Accordingly, while we take reasonable measures to safeguard information, we cannot guarantee absolute security.

You should also take appropriate measures to protect your devices, passwords, accounts and communications.

24. DATA BREACHES

If Halcyon becomes aware of a data-security incident involving personal information, we will investigate the incident and take reasonable steps appropriate to the circumstances.

Where applicable law requires notification to affected individuals, regulators or other authorities, Halcyon will provide such notification in accordance with those requirements.

25. THIRD-PARTY WEBSITES AND SERVICES

The Website may contain links to third-party websites, booking platforms, payment processors, social media platforms, video platforms, software providers and other external services.

Those third parties may independently collect and process personal information.

Their processing is governed by their own privacy policies rather than this Privacy Policy except where they are processing information solely on Halcyon’s behalf.

We encourage you to review the privacy policies of third-party services before providing personal information to them.

Halcyon is not responsible for the independent privacy practices of third-party websites or services that we do not control.

26. SOCIAL MEDIA

If you communicate or interact with Halcyon through a social media or professional networking platform, both Halcyon and the platform provider may receive information about that interaction.

Information processed by the platform is subject to that platform’s privacy terms.

Information received and independently processed by Halcyon will be treated in accordance with this Privacy Policy.

27. YOUR PRIVACY RIGHTS

Depending upon where you live and applicable law, you may have rights regarding personal information held about you.

These can include rights to request access to personal information; request correction of inaccurate information; request deletion in certain circumstances; request restriction of processing; object to particular processing; withdraw consent; request transfer or portability of certain information; opt out of certain marketing, targeted advertising, sale or sharing activities; limit certain uses of sensitive personal information; obtain information regarding how personal information has been used or disclosed; lodge a complaint with a privacy or data-protection regulator; and receive equal service without unlawful discrimination because you exercised a privacy right.

These rights are not absolute. Exceptions may apply depending upon applicable law and the circumstances of the request.

28. HOW TO EXERCISE A PRIVACY RIGHT

To exercise an applicable privacy right, contact Halcyon using the details at the end of this Privacy Policy.

Please describe the nature of your request and provide sufficient information to allow us to identify the information concerned.

We may need to verify your identity before acting upon a request.

Where permitted by law, an authorised agent may submit a request on your behalf. We may require evidence that the agent is authorised to act for you.

Halcyon will respond within the timeframe required by applicable law.

We will not unlawfully discriminate against you for exercising a privacy right.

29. CALIFORNIA PRIVACY RIGHTS

If you are a California resident and Halcyon is subject to the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”), you may have additional rights.

Subject to applicable exceptions, these may include the right to know the categories and specific pieces of personal information collected about you; know the categories of sources from which information was collected; know the purposes for collecting, using, selling or sharing information; know the categories of third parties to whom information is disclosed; request deletion; request correction; opt out of the sale or sharing of personal information; limit certain uses or disclosures of sensitive personal information; and not receive discriminatory treatment for exercising CCPA rights.

For purposes of the CCPA, Halcyon does not sell personal information in exchange for monetary payment.

If Halcyon uses technologies that constitute “sharing” for cross-context behavioural advertising under applicable California law, California residents will be provided with an appropriate method of opting out where required.

Where applicable law requires recognition of a legally valid browser-based opt-out preference signal, such as Global Privacy Control, Halcyon will endeavour to process such signals in accordance with applicable legal requirements and the technical capabilities of the Website.

The categories of personal information Halcyon may collect are described in this Privacy Policy and may include identifiers, professional or employment-related information, commercial information, internet or electronic activity, approximate geolocation information, communications and inferences reasonably derived from other information.

Halcyon collects and uses these categories for the business and commercial purposes described throughout this Privacy Policy.

30. OTHER UNITED STATES PRIVACY RIGHTS

Residents of other US states may have privacy rights under applicable state legislation.

Depending upon the law concerned and whether it applies to Halcyon, these may include rights to access, correct or delete personal information; obtain a portable copy of certain information; opt out of targeted advertising, sale or certain profiling; appeal a decision relating to a privacy request; and exercise other rights provided by state law.

You may contact us using the details below to exercise any right applicable to you.

31. EUROPEAN ECONOMIC AREA AND UNITED KINGDOM

If the European Union General Data Protection Regulation, United Kingdom General Data Protection Regulation or related data-protection legislation applies to our processing of your personal information, you may have rights including access, rectification, erasure, restriction, objection and data portability.

Where processing is based on consent, you may withdraw consent at any time.

Where processing is based upon our legitimate interests, you may have the right to object based upon your particular circumstances.

You have the right to object to processing of personal information for direct marketing purposes.

You may also have a right to lodge a complaint with the competent data-protection supervisory authority in your country.

Where personal information is transferred internationally and applicable law requires transfer safeguards, Halcyon will use an appropriate lawful mechanism.

32. AUSTRALIAN PRIVACY

Where Halcyon is subject to the Privacy Act 1988 (Cth) and Australian Privacy Principles, personal information will be managed in accordance with those requirements.

You may request access to personal information Halcyon holds about you or request correction of information that is inaccurate, out-of-date, incomplete, irrelevant or misleading, subject to applicable exceptions.

If you believe Halcyon has interfered with your privacy or failed to comply with applicable Australian privacy requirements, you may submit a complaint using the contact details below.

We will acknowledge and investigate legitimate privacy complaints and seek to respond within a reasonable period.

If you remain dissatisfied after we have had a reasonable opportunity to address the complaint, you may have the right to contact the Office of the Australian Information Commissioner.

33. CHILDREN

Halcyon’s Website and services are directed primarily toward business owners, founders, executives and other adults and are not directed toward children.

We do not knowingly seek to collect personal information from children under the age of 16 through the Website.

If you believe a child has provided personal information to Halcyon without appropriate authorisation, please contact us so that we can investigate and, where appropriate, delete the information.

34. DO NOT TRACK AND PRIVACY SIGNALS

Some internet browsers provide “Do Not Track” settings or other privacy signals.

Because technical and legal standards relating to these signals continue to develop, the Website may not respond uniformly to every signal.

Where applicable law requires Halcyon to recognise a particular legally valid opt-out preference signal, we intend to honour that requirement.

35. ANONYMISED AND AGGREGATED INFORMATION

Halcyon may aggregate, de-identify or anonymise information so that it can no longer reasonably identify an individual.

We may use genuinely anonymised or aggregated information for legitimate business purposes, including research, benchmarking, strategic intelligence, service development, analytics, publications and understanding business trends.

We will not attempt to re-identify information that is required by applicable law to remain de-identified except where lawful and necessary to evaluate or improve de-identification processes.

36. BUSINESS TRANSACTIONS

If Halcyon or any part of its business is involved in a merger, acquisition, financing, reorganisation, restructuring, sale of assets, investment, joint venture or similar transaction, personal information may be disclosed to advisers, counterparties, financiers or potential acquirers as reasonably necessary for evaluating or completing the transaction.

Where appropriate, such disclosures will be subject to confidentiality or other protective arrangements.

37. LEGAL AND REGULATORY DISCLOSURES

Halcyon may preserve, use or disclose personal information where we reasonably believe doing so is necessary to comply with applicable law, regulation, legal process or governmental request; comply with taxation, accounting or regulatory obligations; protect Halcyon’s legal rights; enforce contracts or Website terms; prevent or investigate fraud, misconduct or security incidents; protect individuals from harm; or establish, exercise or defend legal claims.

38. CHANGES TO THIS PRIVACY POLICY

Halcyon may update this Privacy Policy periodically to reflect changes in our practices, technology, services, legal requirements or other circumstances.

The current version will be published on the Website together with the date it was last updated.

Material changes may also be communicated through the Website or by another appropriate method where required by law.

We encourage you to review this Privacy Policy periodically.
